01Acceptance of Terms

By accessing or using Video Compliant, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

02Description of Service

Video Compliant is a macOS desktop application that connects to your Zoom account via Zoom's official OAuth 2.0 API to automatically download and archive cloud recordings, transcripts, and associated metadata to your local machine or designated storage location.

The Service is designed to help organizations maintain local copies of Zoom recordings for compliance, data retention, and business continuity purposes. Video Compliant does not host, store, or transmit your recordings to any third-party server.

03Free Trial

Video Compliant offers a 14-day free trial. During the trial period:

• The Service includes a 14-day free trial period. During the trial, you have full access to all features at no cost.
• Features, functionality, and availability may change without notice.
• After the trial period, continued use requires a paid subscription. Pricing is available at videocompliant.com.
• Trial access does not guarantee any specific future pricing. We reserve the right to modify subscription plans and pricing at any time.
• We welcome and encourage feedback. Any feedback you provide may be used by us without restriction or obligation to you.

04Eligibility

To use Video Compliant, you must:

• Be at least 18 years of age.
• Have a valid Zoom account with a plan that supports cloud recording and API access (Zoom Pro, Business, or Enterprise).
• Have the authority to authorize third-party applications to access your organization's Zoom account data.
• Use a macOS device compatible with the current version of the application.

05Account & Access

You are responsible for maintaining the security of your Zoom account credentials and any systems where Video Compliant is installed. You agree to notify us immediately of any unauthorized use of the Service or any security breach you become aware of.

Video Compliant authenticates through Zoom's OAuth 2.0 protocol. We do not store your Zoom password. Access tokens are stored locally on your machine and can be revoked at any time through your Zoom account settings.

06Permitted Use

You may use Video Compliant solely for lawful purposes, including but not limited to:

• Archiving Zoom recordings for compliance with applicable regulations (e.g., FINRA, SEC, HIPAA, SOC 2).
• Maintaining local backups of cloud recordings for business continuity.
• Organizing and cataloging recordings and transcripts for internal business use.

You agree not to:

• Reverse engineer, decompile, or disassemble the application.
• Use the Service to violate any applicable law, regulation, or third-party rights.
• Redistribute, sublicense, or resell the application or any part of it.
• Attempt to circumvent any technical limitations or access controls.
• Use the Service to download or archive recordings you are not authorized to access.
• Introduce malicious code or attempt to interfere with the Service's operation.

07Your Data & Recordings

You retain full ownership of all recordings, transcripts, and metadata downloaded through Video Compliant. We claim no ownership rights over your content.

All data downloaded by Video Compliant is stored locally on your machine or on storage you designate. Video Compliant does not upload, transmit, or copy your recordings to any server operated by us or any third party.

You are solely responsible for:

• Ensuring you have the legal right to download and store the recordings.
• Complying with all applicable data protection and privacy laws regarding the content of your recordings.
• Implementing appropriate security measures for your locally stored data.
• Maintaining backups of your archived data.

08Zoom API Integration

Video Compliant accesses your Zoom account through Zoom's official API. By using the Service, you acknowledge that:

• Your use of the Zoom API is also subject to Zoom's Terms of Service and API License Agreement.
• Zoom may modify, limit, or discontinue API access at any time, which could affect the Service's functionality.
• Video Compliant is an independent product and is not affiliated with, endorsed by, or sponsored by Zoom Video Communications, Inc.
• We are not responsible for any changes to Zoom's platform, API, retention policies, or terms that may affect your use of the Service.

09Intellectual Property

The Video Compliant application, including its code, design, documentation, branding, and all related intellectual property, is owned by Video Compliant and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the application in accordance with these Terms.

"Video Compliant," the Video Compliant logo, and related marks are trademarks of Video Compliant. You may not use these marks without prior written consent.

10Privacy & Data Handling

Video Compliant is designed with a local-first architecture. We collect minimal data necessary to operate the Service:

• Account information: Name, email, and organization details provided during account registration.
• Usage analytics: Anonymous, aggregated usage data (e.g., number of downloads initiated, error logs) to improve the Service. No recording content is ever transmitted.
• Support data: Information you voluntarily provide when contacting support.

We do not sell, share, or monetize your personal data. For full details, please refer to our Privacy Policy.

11Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Video Compliant does not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• The Service will meet your specific compliance or regulatory requirements.
• Any data downloaded through the Service will be complete or accurate.
• The Service will be compatible with future versions of macOS or Zoom's API.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDEO COMPLIANT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12Indemnification

You agree to indemnify, defend, and hold harmless Video Compliant, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• The content of any recordings or data you download or store using the Service.

13Termination

You may stop using the Service at any time by uninstalling the application and revoking Video Compliant's access through your Zoom account settings.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, abusive use of the Service, or discontinuation of the Service.

Upon termination, your license to use the application ends immediately. Sections related to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

14Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the application. Your continued use of the Service after such notification constitutes acceptance of the updated Terms.

We encourage you to review these Terms periodically for any changes. The "Last Updated" date at the top of this page indicates when these Terms were last revised.

15Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration administered in Broward County, Florida, in accordance with the rules of the American Arbitration Association.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Video Compliant.
